Liability, Waiver and Release Information

Registration indicates agreement by the Exhibiting Vendor to assume responsibility and to hereby
release ARK Enterprises, LLC, (d/b/a Utility Payment Conference, Town and Country Resort &
Convention Center, Freeman our exclusive exhibit service provider, Trade Show Electrical (TSE)
and MSI Productions (the “Released Parties”) from all liability as a result of its actions during the
event, provided that such liability was not caused by the Utility Payment Conference (ARK
Enterprises, LLC), Town and Country Resort & Convention Center, Freeman, Trade Show
Electrical and MSI's negligence.

The Exhibiting Vendor shall indemnify, save and hold harmless the Released Parties from and
against, any and all claims, losses and damages, injuries, awards, fines, government charges
and liability – together with all costs, expenses and reasonable attorneys’ fees in connection with
its gross negligence and willful misconduct at the Conference, Conference activities and
Exposition.

Certificate of Insurance Request

Exhibitors shall provide a Certificate of Insurance for the Utility Payment Conference with a 30-day
notice of cancellation provision effective for September 24 -27, 2012. The Certificate shall provide
evidence of commercial general liability coverage with limits of $1,000,000 per occurrence, with a
$2,000,000 general aggregate to include coverage for independent contractors, personal injury
and blanket contractual liability ARK Enterprises, LLC, d/b/a Utility Payment Conference, Town and
Country Resort & Convention Center, Freeman, Trade Show Electrical and MSI our exclusive
conference service providers, shall be listed as additional insured on this policy for the period
September 24 – 27, 2012.  Exhibitor shall also provide evidence that it maintains worker's
compensation with statutory limits, and employer’s liability limits of $1,000,000 per claim.

The Certificate of Insurance must be received by the Utility Payment Conference no later than

Labor
The Exhibitor agrees to comply with all union regulations and to abide by all agreements between
the Utility Payment Conference and its contractors, including the Hotel, the Trade Show Service
Provider, electrical and audio visual companies or any of its agents.
